By accessing or using the Service, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree with any part of these Terms, you must not access or use the Service. Your continued use of the Service following any updates to these Terms constitutes acceptance of the revised Terms.
Ziply Fleet is a cloud-based fleet management software-as-a-service (SaaS) platform designed for motor carriers and trucking companies. The Service includes:
Features available to you depend on your subscription plan. Ziply Fleet reserves the right to modify, update, or discontinue features at any time with reasonable notice to subscribers.
To use the Service, you must create an account and provide accurate, current, and complete information. You represent and warrant that:
You must notify us immediately via our contact form at ziplyfleet.com/contact if you suspect unauthorized access to your account. Ziply Fleet is not liable for any loss or damage arising from your failure to protect your account credentials.
All billing is processed securely through Stripe. Your subscription fees billing cycle and plan details are presented to you at the time of sign-up and within your account dashboard.
By subscribing you authorize Ziply Fleet to charge your designated payment method for all fees associated with your selected plan. Subscription fees are billed on a recurring basis (monthly or annual as selected) and will automatically renew at the end of each billing cycle unless cancelled.
If payment fails Ziply Fleet may suspend access to the Service until payment is resolved. All fees are in USD and subject to applicable taxes.
Current pricing information is available on our website at ziplyfleet.com. Ziply Fleet reserves the right to update pricing with at least 30 days written notice to existing subscribers.
Ziply Fleet may offer a free trial period for new customers. Trial terms duration and eligibility are presented at the time of sign-up.
A valid payment method may be required to start a trial. At the end of the trial period your subscription will automatically convert to a paid plan unless you cancel before the trial expires. Only one free trial is available per company.
You may cancel your subscription at any time through Settings Plan & Usage in your dashboard or by contacting us via our contact form at ziplyfleet.com/contact. Upon cancellation:
Ziply Fleet is not responsible for charges resulting from failure to cancel before a renewal date.
You agree to use the Service only for lawful business purposes in accordance with these Terms. You shall not:
Violation of this policy may result in immediate suspension or permanent termination of your account without refund.
You retain full ownership of all data content and materials you upload create or store through the Service ("Customer Data"). By using the Service you grant Ziply Fleet a limited non-exclusive worldwide license to host store process and display your Customer Data solely for the purpose of providing and improving the Service.
Ziply Fleet will not sell share or use your Customer Data for advertising purposes. Upon termination of your account you may request an export of your data within the 30-day retention period described in Section 6.
Ziply Fleet operates as a multi-tenant platform where multiple companies share the same underlying infrastructure. We maintain strict logical data isolation between companies:

These integrations are provided as-is and subject to the respective third party's terms of service and availability. Ziply Fleet is not responsible for any downtime data loss or service disruptions caused by third-party providers.
Ziply Fleet targets 99.9% platform uptime but this is not a guaranteed service level for all subscription tiers. Scheduled maintenance windows will be communicated in advance when possible.
Enterprise plan customers may negotiate a formal Service Level Agreement (SLA) with guaranteed uptime commitments and associated remedies.
Ziply Fleet shall not be liable for any downtime caused by circumstances beyond our reasonable control including natural disasters internet outages or third-party service failures.
IMPORTANT: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZIPLY FLEET AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL ZIPLY FLEET'S TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL FEES PAID BY YOU TO ZIPLY FLEET DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, REGULATORY, COMPLIANCE, OR SAFETY ADVICE.
You agree to indemnify defend and hold harmless Ziply Fleet its affiliates officers directors employees and agents from and against any and all claims liabilities damages losses costs and expenses arising out of or related to:
The Service including its software design logos trademarks documentation and all related intellectual property is owned by Ziply Fleet and protected by United States and international intellectual property laws.
Subject to these Terms Ziply Fleet grants you a limited non-exclusive non-transferable revocable license to access and use the Service for your internal business purposes during the term of your subscription.
IMPORTANT WAIVER OF CLASS ACTION RIGHTS.
Before initiating any formal dispute both parties agree to attempt good-faith resolution by contacting Ziply Fleet via our contact form at ziplyfleet.com/contact.
Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted in Washington State.
YOU AND ZIPLY FLEET EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS CONSOLIDATED OR REPRESENTATIVE ACTION.
Nothing prevents either party from seeking injunctive relief or filing in small claims court.
These Terms shall be governed by the laws of the State of Washington United States.
Our Privacy Policy at ziplyfleet.com/privacy is incorporated into these Terms by reference.
While Ziply Fleet provides tools designed to assist with FMCSA DOT and transportation regulatory compliance the platform does not constitute legal regulatory or compliance advice. Carriers remain solely responsible for ensuring their operations comply with all applicable federal state and local regulations.
FMCSA safety scores and data displayed are sourced from publicly available government databases and may not reflect real-time updates.
Ziply Fleet enables GPS and location tracking of vehicles and drivers through ELD integrations. By enabling these features you represent and warrant that:

Ziply Fleet reserves the right to modify these Terms at any time. We will provide at least 30 days written notice of any material changes.
Either party may terminate the subscription at any time. Upon termination your right to access the Service ceases at the end of the applicable period. You may export your data within 30 days. After 30 days your data will be permanently deleted. Sections 12 13 15 and 14 survive termination.
